Terms of Service

These Terms of Service ("Terms") govern your access to and use of ReportSync (the "Service"), operated by ReportSync ("we," "us"). By creating an account or using the Service, you agree to these Terms. If you don't agree, don't use the Service.

1. What ReportSync does

ReportSync turns spreadsheets you upload into executive reports — it detects charts and notable trends, writes an AI-generated summary, and lets you share the result as a live link or export it as PDF/PowerPoint.

2. Accounts

You need an account to use the Service. You're responsible for keeping your credentials secure and for all activity under your account. Provide accurate information when you sign up, and tell us promptly if you suspect unauthorized access to your account.

3. Plans, billing, and cancellation

Paid plans are billed in advance on a recurring basis through Stripe. Subscriptions renew automatically until you cancel. You can cancel anytime from your account settings — you'll keep access through the end of the period you've already paid for. Except where required by law, payments are non-refundable. We may change our prices, but we'll give you reasonable notice before a change applies to you.

4. Your content

You retain ownership of the files you upload and the reports you create ("Your Content"). By uploading Your Content, you grant us a limited license to store, process, and transmit it — including to third-party subprocessors such as our AI provider — solely to operate and provide the Service to you. You're responsible for having the necessary rights and permissions to upload and share any data contained in Your Content, including any personal data about others it may include.

5. AI-generated content

Executive summaries and detected insights are generated automatically by AI models based on the data you upload. They can be incomplete, out of date, or wrong. ReportSync is a drafting and detection tool, not financial, accounting, legal, or professional advice — review every AI-generated summary before you rely on it or share it, and use your own judgment about the underlying data.

6. Acceptable use

You agree not to:

• Upload data you don't have the right to use or share.
• Use the Service for anything unlawful, or to violate someone else's rights (including privacy rights).
• Attempt to break, reverse-engineer, or gain unauthorized access to the Service.
• Scrape, resell, or use the Service to build a competing product.
• Share a live report link with anyone you haven't verified should have access to its contents.

7. Shared links

Anyone with a live report link's URL can view that report until you revoke it or it expires. You're responsible for controlling who you share a link with, and for anything visible in a report you choose to share.

8. Our intellectual property

The Service itself — its software, design, and branding — belongs to ReportSync. These Terms don't grant you any rights to our trademarks or branding beyond what's needed to use the Service normally.

9. Termination

You can stop using the Service and cancel your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or for non-payment. If we terminate your account for reasons other than your breach, we'll give you reasonable notice where practical.

10. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We don't warrant that the Service, or any AI-generated content it produces, will be uninterrupted, error-free, or accurate.

11. Limitation of liability

To the maximum extent permitted by law, ReportSync won't be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim arose.

12. Indemnification

You agree to indemnify and hold ReportSync harmless from any claims, damages, or expenses arising from Your Content, your use of the Service in violation of these Terms, or your violation of any law or third party's rights.

13. Governing law

These Terms are governed by the laws of [Insert governing state/country], without regard to its conflict-of-laws rules.

14. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we'll update the "Last updated" date above and, where appropriate, notify you directly. Continuing to use the Service after changes take effect means you accept the updated Terms.
